The Companies Act, 2013 in depth, plus a compact 'other laws' block. Volume is the challenge here — the winning approach is structured recall, not more reading.

Why this paper matters
Company law is the backbone of Indian corporate practice. It reappears at Final in a far more advanced form, and it shapes how you read every audit and compliance question thereafter.
Chapter-wise weightage
Indicative distribution based on the published syllabus structure. Always confirm against the ICAI study material for your attempt.
- Companies Act — Incorporation & Share Capital25 marks
- Management, Meetings & Directors25 marks
- Accounts, Audit & Dividend20 marks
- Other Laws — General Clauses & Interpretation20 marks
- Miscellaneous & Charges10 marks
How to actually score it
- Convert every chapter into a timeline or threshold table. Company law is mostly deadlines, thresholds and majorities. A table of 'who, within how many days, by what majority' outperforms prose notes.
- Section numbers earn marks here. Unlike Foundation, Intermediate expects precise citation. Learn the frequently examined sections cold — meetings, directors, dividends and charges.
- Do not leave 'other laws' to the end. The General Clauses Act and interpretation of statutes carry meaningful marks and are the shortest scoring block in the paper.
- Answer with a decision. Application questions want a conclusion: valid, not valid, permitted, not permitted. State it before you justify it.
Mistakes that cost marks
- Reading the Companies Act linearly instead of building threshold tables
- Confusing ordinary and special resolution requirements
- Skipping procedural steps in board and general meeting questions
- Neglecting the 'other laws' block because it feels peripheral

Talk to usHow much of the paper is objective?
The paper carries a mix of objective and descriptive questions. Check the pattern notified by ICAI for your attempt, as the split has been revised across schemes.
Do amendments matter in this paper?
Considerably. Company law is amended frequently — always study the amendments applicable to your specific attempt as notified by ICAI in the RTP.
How do I remember so many sections?
Group them by process rather than by number: incorporation, capital, meetings, directors, accounts, dividend. Recall follows the sequence of a company's life, not the numbering of the Act.
