Business Laws
A memory paper that punishes rote learning. Business Laws asks you to apply sections to short fact patterns, so the students who write section numbers with a one-line principle beat the ones who reproduce paragraphs.

Why this paper matters
This is your first contact with the Indian Contract Act and the Companies Act — both return at Intermediate in Corporate and Other Laws, and again at Final. The vocabulary you build here is permanent.
Chapter-wise weightage
Indicative distribution based on the published syllabus structure. Always confirm against the ICAI study material for your attempt.
- Indian Contract Act, 187230–35 marks
- Sale of Goods Act, 193020 marks
- Indian Partnership Act, 193220 marks
- Companies Act, 2013 (basics)15 marks
- LLP Act, 200810 marks
How to actually score it
- Answer in the IRAC shape. Issue, rule (with section number), application, conclusion. Examiners scan for the section and the conclusion — give them both in the first two lines.
- Learn illustrations, not definitions. The paper tests application through short scenarios. For every section, memorise one worked illustration; it doubles as your definition and your example.
- Contract Act is a third of the paper. Offer, acceptance, consideration, free consent, breach and remedies repeat relentlessly. Finish it first and revise it last.
- Write section numbers even when unsure. A correct principle with an approximate section still earns the principle marks. An unattributed paragraph earns fewer.
Mistakes that cost marks
- Reproducing bare-act language instead of applying the rule to the facts given
- Confusing void, voidable and illegal agreements under the Contract Act
- Missing the conclusion line — examiners look for a decision, not a discussion
- Ignoring the LLP Act because it carries the fewest marks, then losing all of them

Talk to usDo I need to memorise section numbers?
For the high-frequency sections, yes — they signal precision and earn marks. For the rest, a correctly stated principle carries most of the credit even without the exact number.
How is Business Laws different at Intermediate?
Intermediate Corporate and Other Laws goes far deeper into the Companies Act, 2013 and adds the General Clauses Act and interpretation of statutes. Foundation only covers the basics.
Is case law required at Foundation level?
Landmark illustrations help, but the paper is built on statutory provisions applied to short fact patterns rather than detailed case citation.
